TERMS AND CONDITIONS

AGENT: PARADISE PARTIES LLC. 10694 E. Asbury Ave. Suite #108 Aurora, CO 80014 acting as agent for TOUR OPERATOR: STUDENTCITY.COM, INC., (hereafter referred to as SCC) 930 Commonwealth Ave. South, Boston, MA 02215, herein referred to as SCC, has arranged the vacation packages described in this flier/invoice confirmation. SCC acts as tour operator for Cancun and Nassau packages.

PACKAGE PRICE/INCLUSIONS: See front of this confirmation/brochure/flier for package inclusions. All package inclusions are subject to terms and conditions contained herein. All domestic packages do not include transportation unless otherwise noted. All rates are subject to change without notice in accordance with fuel base in charter contracts, changes in government taxes, etc. Any fuel-related increases and/or changes in government taxes will be assessed no later than 10 days prior to departure and must be paid by all passengers, regardless of whether account is paid in full or not. Peak week surcharges may apply; call for details. Reservations received after December 15 are subject to price increases described herein.

RESERVATIONS AND PAYMENTS: A $100 non-refundable per person deposit is required by due date to secure reservation. Final payment is due in our office by Jan. 11th or whatever date is stated on your invoice. Late final payment risks immediate suspension and/or cancellation, loss of first choice hotel/flight, and/or assessment of a $40 reinstatement fee. Checks and money orders should be made payable to: PARADISE PARTIES LLC. Receipt of deposit by SCC constitutes acceptance of these terms and conditions. There is a $30 service charge for all checks returned to SCC for any reason, including, but not limited to insufficient funds or stop payment. FINAL TRIP DOCUMENTS (TICKETS, ETC.) WILL NOT BE SENT UNTIL FULL PAYMENT AND A SIGNED COPY OF THE RESERVATION AGREEMENT HAS BEEN RECEIVED IN OUR OFFICE FROM ALL PASSENGERS IN THE SAME ROOM OR RESERVATION I.D. Final trip documents will be mailed or e-mailed to you, your group leader, travel agent or on-campus representative 5-14 days prior to departure.

NO PERSONAL CHECKS ACCEPTED FOR FINAL PAYMENT.

DEPARTURE TAXES/FEES: All U.S. and foreign departure taxes and fees are due with final payment (BAHAMAS ONLY: Bahamian departure tax is payable upon departure from Nassau, currently $15.60). In the event that any portion of departure taxes and fees cannot be pre-paid by tour operator, tour participant must pay taxes at the time of departure and receive a refund following the tour. Tour participant is responsible for any changes in government taxes and fees.

CREDIT CARD/NON-CASH PAYMENTS: SCC accepts Visa, MasterCard and Discover. All credit card payments must be made online at www.paradiseparties.com or mail / fax a completed credit card authorization form with cardholderÕs billing address and signature to Paradise Parties LLC.. Customers paying by credit card agree to waive all charge back rights.

PROOF OF CITIZENSHIP: U.S. citizens must carry proper proof of citizenship (i.e. valid U.S. passport, original or notarized copy of original state-issued birth certificate with raised seal in conjunction with state-issued picture I.D.). Non-U.S. citizens should consult their consulate for I.D. requirements. Citizenship documentation requirements vary by destination and are subject to change without notice; SCC assumes no responsibility for such changes or notifying tour participants of such changes. Passengers who are denied boarding or entry for improper documentation will receive no refund. Minors traveling to Mexico must carry a notarized letter of consent signed by both parents and/or legal guardian.

RESERVATION CHANGES: There is a minimum $30 per person charge for changing a reservation in any way once SCC has received the deposit. Adding passengers to an existing reservation is not considered a change.

ROOMMATES: You are responsible for finding your own roommates. Should any or all of your roommates cancel you will be responsible for the increased price due to occupancy changes.

"UNKNOWN" & "TBA" PASSENGERS: Our web-site allows you to book a trip and hold space without specifying all passengers names as long as $100 deposit has been received on their behalf. These unknown or TBA passengers are treated as a real person and are subject to all terms and conditions stated herein. However, there is no charge to change the name from unknown or TBA to a real passenger until the final payment due date, after which time a minimum $30 name change/transfer fee will apply. Any unknown or TBA passenger not changed to a real passenger by 4 weeks prior to the stated departure weekend is subject to cancellation without refund and roommates will be subject to a higher room rate, as stated herein.

HOTEL SECURITY DEPOSITS: Hotels reserve the right to collect up to a $100 per person refundable security deposit upon check-in. This deposit will be returned upon check-out minus any housekeeping charges provided that there are no charges to your room. Individual hotels may change their deposit policy at any time without notice; SCC assumes no liability for such changes.

LAST MINUTE RESERVATIONS: Reservations will be accepted up to the day of departure as long as space is available. SCC reserves the right to require certified funds from individuals and/or travel agents for reservations made after final payment date.

CUSTOMER SERVICE/ASSISTANCE: SCC has offices/representatives in all vacation destinations. If you require assistance during your vacation, please contact our on-location representatives (long distance phone calls to/from the United States will not be reimbursed under any circumstances), who will make every attempt to assist you. If a problem cannot be resolved on the spot, please write our customer service department (Customer Service, STUDENTCITY.COM, INC., 930 Commonwealth Ave. South, Boston, MA 02215) within 60 days of your return. Failure to write within 60 days will release SCC from all claims and liability.

MEAL/DRINK PLANS: SCC provides meal coupons for all meal plans. Coupons hold no cash value and may be subject to tax & tip. No refunds will be made for loss, theft, and/or unused services. SCC acts as an agent for several restaurants/establishments in providing this meal/drink plan and is not responsible for acts, errors, failure to honor agreements, or omissions by individual restaurants/establishments. Meal menus, schedules, and participating restaurants/establishments are subject to change at any time.

UNUSED TOUR SERVICES/LEAVING THE TOUR: Tour Participants(s) will receive no refund for any unused accommodations, flights, or other package features if they leave the tour, regardless of reason. SCC strongly recommends the purchase of the Comprehensive Travel Protection Plan, which provides compensation for trip interruption due to medical emergencies.

FORUM: You agree that any litigation regarding the interpretation, breach or enforcement of this agreement, or related to your trip shall be filed and heard by state or federal courts in SUFFOLK COUNTY in the COMMONWEALTH OF MASSACHUSETTS only.

BAGGAGE/LOST OR DELAYED BAGGAGE: Air carriers allow each tour participant to bring up to two (2) pieces of luggage each measuring no more than 62Ó a maximum of 44 lbs. of baggage, plus one carry on bag that can fit under the seat in front of you. For international flights, air carrier liability for lost baggage is limited to $400 total per passenger ($1250 per passenger for domestic flights). For delayed baggage, air carrier liability is $25 per person per day, after bags have been delayed for a minimum of 24 hours. SCC assumes no liability for lost or delayed baggage and strongly recommends the purchase of the Comprehensive Travel Protection Plan.

OPERATOR-PARTICIPANT CONTRACT

SECURITY AGREEMENT: Your payments are protected in part by a surety bond that we have obtained from Greenwich Insurance Company, 555 Pleasantville Rd. Suite 200N, Briar Cliff Manor, NY 10510. Unless you file a claim with us, or, if we are not available, with the securer within 60 days of the completion of the charter, the securer will be released from all liability to you under this bond.

CANCELLATIONS: BECAUSE ALL PAYMENTS ARE NON-REFUNDABLE, SCC STRONGLY RECOMMENDS THE PURCHASE OF THE OPTIONAL COMPREHENSIVE TRAVEL PROTECTION PLAN; SEE BROCHURE FOR DETAILS. Passengers wishing to cancel their reservation must submit their request in writing to SCC via certified mail or facsimile transmission. NO REFUNDS WILL BE ISSUED FROM VERBAL CANCELLATIONS. Although all payments are non-refundable, name changes are allowed for a minimum $30 fee plus any airline-imposed fees. If your roommate(s) cancels, you and your remaining roommate(s) must pay applicable occupancy surcharges prior to departure.

MAJOR CHANGE: If we make a major change prior to departure, you have the right to cancel and receive a full refund. The following are considered major changes: (1) a change in the departure or return date, unless the change results from a flight delay experienced by the air carrier (If, however, a delay is more than 48 hours, it will be considered a major change), (2) a change in the origin or destination city, unless the change affects only the order in which cities named in the tour package are visited, (3) a price increase of more than 10% occurring 10 or more days prior to departure. Under no circumstances can we increase your price within 10 days of departure. If a major change must be made in the program, we will notify you within 7 days after first learning of the change, but in any event at least 10 days prior to the scheduled departure. If, less than 10 days before scheduled departure, we become aware of a major change, we will notify you as soon as possible. Within 7 days after receiving notification of a major change, but in no event later than departure, you may cancel your reservation and you will receive a full refund within 14 days after canceling. If a major change occurs after departure which you are unwilling to accept, we will refund, within 14 days after your scheduled return date, that portion of your payment which applies to the services not accepted. If we must cancel the charter: we will notify you in writing within 7 days of the cancellation, but in no event later than 10 days before the scheduled departure date. We have no right to cancel the charter less than 10 days before departure, except for circumstances that make it physically impossible to perform the charter trip. If that occurs, we will notify you as soon as possible, but not later than the scheduled departure date. If the charter is cancelled, we will make a full refund to you within 14 days after cancellation. The rights and remedies made available under this contract are in addition to any other rights or remedies available under applicable law. However, we offer refunds under this contract with the express understanding that the receipt of that refund by a passenger waives the additional remedies.

FLIGHT SCHEDULES: SCC will provide as much information as possible regarding flight schedules at the time of booking, however, this information is considered tentative and subject to change without notice per operatorÕs option plan. Flight schedules are not guaranteed and may affect actual length of time in vacation destinations. Schedule changes can occur without notice even after tickets have been issued; therefore, the tour participant is responsible for re-confirming both outbound and return flights.

FLIGHT DELAYS: Flight delays are unfortunate, but they are a risk in all air travel and beyond the control and responsibility of SCC. Per D.O.T. regulations regarding delays of public charter flights, airlines are no longer required by law to provide compensation for delays (i.e. rooms, meals or refunds), unless the delay is more than 48 hours (see major change). Missed nights accommodations, missed time in vacation destination, missed connections to/from charter flights, missed wages, missed package features, and additional expenses (including long distance telephone calls) incurred due to flight delays are beyond SCCÕs control and responsibility. In addition to the Optional Comprehensive Travel Protection Plan, SCCÕs customer service policy provides that any passenger who experiences a delay of more than 12 hours will receive anywhere from $25 - $100 (depending on length and severity of delay) per person credit good towards future travel on any SCC charter tour package. This credit is non-transferable and is valid for one year from date of issue. Compensation schedule does not apply to weather-related, air traffic-related, or security-related delays. Please call our office for complete terms of this compensation policy.

AIRLINES: Public charter service provided by Allegro Airlines, TransMeridian, Ryan, Sun World, SkyQuest Charters, Casino Express, Champion, Northwest Airlines, North American, Sun Country, Planet, Laker Bahamas, TWA, Continental, Falcon, UPS, Air Jamaica or American Trans Air. Public charters are operated by SCC, Inc. dba SCV, Apple Vacations, GWV, TNT, Funjet, MLT, Vacation Express, SunTrips, STS, SST, Sunburst Holidays and WCV. Scheduled air service provided by Continental, United, Air Tran, USAirways, Northwest, Delta, TWA, Southwest, Air Jamaica, Bahamas Air and American. SCC reserves the right to substitute different airlines/aircraft type and does not guarantee single plane or non-stop service.

GENERAL: The legal drinking age in Mexico, Jamaica and the Bahamas is 18 and is seldom enforced. In Florida and Texas the legal drinking age is 21, but most clubs allow admission at 18. SCC does not condone the use of alcohol by those under the legal drinking age and in no way condones or encourages intoxication. SCC has contractual relationships in all destinations with subcontractors who sell optional activity packages to our travelers. Some of these packages may make available alcoholic beverages. If you choose to drink, we urge you to do so responsibly and remember that the excessive use of alcohol can result in injury, death and severely impaired judgment.

OPERATORÕS OPTION PLAN: SCC reserves the right to use Friday, Saturday or Sunday departures of your chosen weekend. The following are considered Òco-terminalÓ airports: New York (Newark, JFK, LaGuardia); Washington (BWI, National, Dulles); Chicago (OÕHare, Midway); Detroit (Metro, City). The Tour Operator may substitute equivalent hotel accommodations when necessary.
